Terms of Use
Effective Date: October 1, 2026 • Last Updated: October 25, 2026
1. Agreement to These Terms
These Terms of Use (“Terms”) are a binding agreement between you and Keepary, LLC (“Keepary,” “we,” “us,” or “our”) governing your use of the Keepary mobile app, web app, and website (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Keepary is a workflow ecosystem for analog film photographers: logging rolls and frames, capturing shooting metadata, and syncing across devices. The Service is offered in tiers, currently a Free tier and a Core subscription. Features included in each tier are described in the app and on our website and may change over time as described in Section 6.
3. Eligibility and Your Account
You must be at least 13 years old (or the minimum age required in your jurisdiction) and able to form a binding contract to use the Service. You are responsible for your account credentials and for all activity under your account. Keep your information accurate, and notify us of any unauthorized use.
4. Subscriptions and Billing
Subscriptions (Apple In-App Purchase). Core subscriptions purchased in the mobile app are billed through your Apple ID. Subscriptions renew automatically until cancelled, and you can manage or cancel them in your Apple ID account settings. Cancellation takes effect at the end of the current billing period. Refunds for in-app purchases are handled by Apple under Apple's policies.
Price changes. We may change subscription pricing prospectively. For active subscriptions, price changes will apply at your next renewal and only after any notice required by Apple or applicable law.
5. Free Tier and Trials
We may offer a free tier, trials, or promotional access. Free and trial features may be modified, limited, or discontinued at any time. If a trial converts to a paid subscription, you will be informed of the price and billing terms before you are charged.
6. Changes to the Service
We are a small, actively developing product. We may add, change, or remove features, including moving features between tiers, provided that we will not materially reduce the core functionality of a paid tier during a period you have already paid for without offering an appropriate remedy.
7. Your Content
You own your content. As between you and Keepary, you retain all rights in the photos, scans, negatives, metadata, and other content you submit to the Service (“Your Content”).
License to us. You grant Keepary a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process, and display Your Content solely as necessary to operate, provide, and improve the Service for you, including through our service providers — for example, syncing Your Content across your devices, generating previews, and transcribing voice dictation you record. This license ends when Your Content is deleted from the Service, except for limited backup retention and as needed to comply with law.
Your responsibilities. You represent that you have the rights necessary to submit Your Content and that it does not violate law or the rights of others. You are responsible for maintaining your own backup copies of your original negatives, scans, and files; the Service is not a substitute for independent backups.
8. Aggregated and De-Identified Data
You agree that Keepary may generate, use, and share aggregated and de-identified data derived from use of the Service — such as film stock popularity and aperture and exposure usage patterns — as described in our Privacy Policy. Aggregated data will not include personal identifiers, Your Content itself, or anything that could reasonably identify you, and Keepary owns all rights in such aggregated data.
9. Acceptable Use
- Do not use the Service to store or share unlawful content or content that infringes others' rights.
- Do not reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
- Do not interfere with or disrupt the Service, circumvent usage limits or entitlements, or access it by automated means without our permission.
- Do not resell, sublicense, or provide the Service to third parties as a service bureau.
10. Beta Features and TestFlight
We may offer beta, preview, or early-access features, including through Apple TestFlight (“Beta Features”). Beta Features are provided “as is,” may contain bugs, may change or be discontinued at any time, and may result in data loss or sync errors. You should not rely on Beta Features for irreplaceable data, and you should keep independent copies of anything you log or upload during a beta. Feedback you provide about Beta Features may be used by us without restriction or compensation. Feedback you send through TestFlight is collected by Apple and shared with us under Apple’s terms.
11. Intellectual Property and Feedback
The Service, including its software, design, branding, and content (other than Your Content), is owned by Keepary and its licensors and is protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to use the Service in accordance with these Terms. If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
12. Third-Party Services
The Service depends on third-party platforms and providers, including Apple (distribution, in-app purchases, speech recognition, and weather data), OpenAI (voice dictation transcription), and the hosting, sync, analytics, crash reporting, and email providers listed in Section 6 of our Privacy Policy. Your use of third-party services is governed by their terms, and we are not responsible for third-party services.
13. Apple App Store Terms
If you downloaded the app from the Apple App Store: these Terms are between you and Keepary only, not Apple; the license granted to you for the app is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions (except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing); Apple has no obligation to provide maintenance or support for the app; in the event of a failure to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, and to the maximum extent permitted by law Apple has no other warranty obligation; Apple is not responsible for addressing claims relating to the app, including product liability, legal or regulatory compliance, and consumer protection claims; Apple is not responsible for third-party intellectual property claims relating to the app; you represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted-party list; you must comply with any applicable third-party terms (such as your wireless data service agreement) when using the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT METADATA, WEATHER DATA, OR DICTATION TRANSCRIPTS WILL BE ACCURATE OR MEET YOUR EXPECTATIONS, THAT SYNC WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT YOUR CONTENT WILL NEVER BE LOST. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPARY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) FIFTY U.S. DOLLARS (US$50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
You will indemnify and hold Keepary harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
17. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service, in which case we will provide reasonable notice where practicable and, for prepaid periods, a pro-rata refund where required by law. Sections that by their nature should survive termination will survive, including Sections 7 (license wind-down), 8, 11, and 14–18.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Disputes between you and Keepary will be resolved as described below.
Informal resolution first. Before starting arbitration, you and Keepary each agree to try to resolve the dispute informally for at least 60 days after one of us sends the other a written notice describing the dispute and the relief requested. Send notices to us at support@keepary.app.
Binding individual arbitration. Except as described below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, including its Mass Arbitration Supplementary Rules where they apply. The arbitration will take place in the county where you live, or by video or written submissions if you prefer. Keepary will pay the arbitration fees that the AAA’s rules require a business to pay. The Federal Arbitration Act governs this section.
Exceptions. Either of us may instead bring an individual claim in small claims court, and either of us may ask a court to stop infringement or misuse of intellectual property.
No class actions or jury trials. You and Keepary may bring claims against each other only individually, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not combine more than one person’s claims. You and Keepary each waive the right to a jury trial. If this class-action waiver is found unenforceable for a particular claim, that claim will be decided in court, not in arbitration.
Your right to opt out. You can opt out of this arbitration agreement by emailing support@keepary.app within 30 days after you first accept these Terms, with your name, your account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Courts. Any claim that is not arbitrated will be decided only in the state or federal courts located in Spokane County, Washington, and you and Keepary consent to those courts’ jurisdiction.
If you live outside the United States. If you live in the European Union, the United Kingdom, or another country whose consumer protection laws do not allow these terms, this section applies only to the extent those laws permit, and you may bring a claim in the courts where you live.
19. General
These Terms, together with the Privacy Policy and any tier or license terms presented at purchase, are the entire agreement between you and Keepary regarding the Service. If any provision is unenforceable, the rest remain in effect. We may update these Terms; if changes are material, we will notify you in advance through the Service or by email, and continued use after the effective date constitutes acceptance. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
